FINANCIAL SERVICES PRACTICE

   The firm assists clients in the Financial Services and Banking Industry, including Federal Deposit Insurance Corporation (“FDIC”) insured member and non-member banks, Finance Lenders, California Department of Real Estate (“DRE”) Mortgage Lenders and Brokers.  We handle regulatory matters, loan documentation, loan workouts, modifications, commercial litigation and other matters on behalf of financial services companies.  We advise financial services executives on compensation issues and operational matters.

   We have assisted clients in acquiring banks and assets out of receivership with the FDIC, including, non-performing commercial real estate secured loans (“NPL”).  We have successfully completed bank roll-ups, Change of Control applications with the FDIC and structuring entities to acquire such assets.  We prepare the documentation for the investors acquiring commercial real estate or (“NPS”).  We also represent private equity investor clients achieving Qualified Bidder status with the FDIC.  We are familiar with the Legacy Loan Program, Public Private Investment Program and other FDIC regulations.

   In the distressed market, we represent commercial lenders, borrowers and guarantors in loan workouts, foreclosures, mixed collateral receiverships, loan modifications and sales and purchase of asset pools.  We work with lenders and borrowers on new loan transactions in the real estate owner-occupied, investor and middle market environment.  We prepare loan documents, accomplish due diligence, negotiate terms and conditions of loan transactions, engage and instruct the title company and close the transaction, including the preparation of loan closing instructions.

   We also work with lenders on the FDIC Policy Statement on Prudent Commercial Loan Workouts.  This policy provides our clients with guidance with respect to the regulatory position of the FDIC for resolving commercial real estate loan defaults.

   The firm performs due diligence for purchasers of loan pools from financial institutions, the FDIC or other governmental agencies.  Firm clients have achieved Qualified Bidder status and have successfully acquired pools of NPL.  In this scenario, the firm can assist in the workout of the portfolio for servicers, including providing servicing, foreclosure assistance, receiverships, relief from stay in bankruptcy and other loan related assistance.

  Another unique area of practice is the Financial Services Technology Practice.  We represent real estate licensees in licensing matters nationwide and internationally.  We have technology company clients that have matching platforms, due diligence platforms, listing platforms and other technology integrated real estate and financing options.  We advise technology clients in the legal functions related to website development, virtual deal rooms, matching technology and pool sorting functions. 

  With respect to residential mortgage lenders, we work with the new regulatory requirements for TILA, RESPA and other regulatory changes regarding loans and foreclosures.  We have also formed investor pools under Reg. D to acquire non-performing loans and bank owned real estate.
